RDN Terms of Use

01Introduction

This outlines the usage terms RightWave offers its users RightData Normalizer (RDN). By accessing and using the RDN, you agree to be bound by these terms and conditions. If you do not agree to these terms, you should not use the RDN.

02Account Creation

To access and use the RDN, you must create an account. When you register for an account, you may be required to provide information such as your name, email address, or other contact information. You must provide accurate and complete information when creating your account. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities under your account.

If you believe that your account is no longer secure, then you should immediately notify us at support@rdn.rightwave.com.

03Usage Restrictions

The RDN is offered for your business use only. You may not use the RDN for any illegal or unauthorized purpose. RDN cannot be used in violation of any laws in your jurisdiction.

04Payment Term

RightWave collects payment and billing information when registering payment and billing information when you register for a certain subscription plan. Before paying any fees, you will have an opportunity to review and accept the fees. All fees are in U.S. Dollars and are non-refundable unless otherwise specifically provided for in these Terms.

Fees vary based on the subscribed plan, with different pricing plans. RightWave reserves the right to issue refunds or credits at its sole discretion. You might also provide payment information, such as payment card details, which we collect via a secure payment gateway i.e. Stripe. RightWave has set the price for RDN plans. We may change the plan price from time to time and will always provide advance notice if your price changes.

05Subscription Services

RDN Subscription Service may require the payment of fees according to the subscribed plan. By activating a Subscription, you authorize RightWave and its payment processors to charge your organization on the Subscription Billing Date and thereafter on the renewal date of your Subscription until cancellation of the Subscription for all applicable fees and taxes for the coming Subscription period. In the Monthly Subscription plan, you cannot upgrade the plan on the last day of the billing cycle.

All timestamps are stored in the UTC time zone. You must cancel your Subscription Service before it renews, to avoid billing the next periodic Subscription Fee to your account. You may cancel the Subscription Service by accessing your account and clicking on the “Cancel Plan” option under “My Plan” or by contacting us at support@rdn.rightwave.com.

06Data Storage and Ownership

You retain ownership of all data stored in the RDN. RightWave may periodically back up data, but it is your responsibility to keep backup copies of your data. RightWave will not be liable for any data loss or other damage to your data.

07Intellectual Property Rights

RightWave, including all software, content, and materials, is protected by intellectual property laws. You may not copy, distribute, modify, resell, or create derivative works based on the RDN without the express written consent of RightWave. It also includes rights in all copyrighted works, trademarks, designs, inventions, and other intellectual property.

08Warranty and Liability

RDN is provided “as is” without warranty of any kind, either express or implied. RightWave will not be liable for any damages arising from using the RDN.

09Changes to Terms of Use

RightWave may make changes to these terms of use from time to time. Every time the terms are updated, users will be informed and the user has the right to cancel the acceptance of the terms of use.

10Termination

RightWave may suspend or terminate access to the Service, including fee-based portions of the Service, for any account with an unpaid balance. If your payment method is no longer valid when a renewal Subscription Fee is due. In that case, RightWave reserves the right to delete your account and any information associated with your account without any liability.

11Subscription Agreement

You become a subscriber when you create a subscription to use RDN services and accept these terms. If you’re a subscriber, you’re responsible for paying for your subscription.

12Governing Law

You and RightWave submit to the personal and exclusive jurisdiction of the state courts and federal courts located within California for the resolution of any lawsuit or court proceeding.

13License Agreement

Subject to your complete and ongoing compliance, RightWave grants you, solely for your a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the RDN Services.
